General Terms of Use (GTU) - KEI

These General Terms of Use (hereinafter 'GTU') constitute a legal contract governing access to and use of the KEI platform (hereinafter 'the Application'), available on web and mobile.
KEI (KORV Estatement Inventory) is a PropTech application published by KORV Consulting SAS, a company registered under RCS number: Pontoise B 902 936 798, with headquarters located at 21 Rue des Figuiers Blancs, 95100 Argenteuil, France.
By accessing the Application, purchasing unit credits/tickets, and/or any other subscription services and support options, the user acknowledges having read and unreservedly accepted these GTU.
Definitions
"Subscription": refers to the contractual granting of a non-exclusive, personal, and time-limited right to use the Services. A premium service providing access to advanced features such as report customization, dedicated support, and training.
"Administrator User": refers to a User with advanced rights on the Application, including management of collaborators and credits/tickets.
"Application": refers to the KEI platform and all mobile or web applications that enable property condition reports, property inspections, and incident management, developed and marketed by KORV Consulting SAS, accessible online at www.kei-app.com or through mobile stores such as the Apple App Store and Google Play Store.
"Collaborator User": refers to any individual linked to a Business User and accessing the Services through a Subscription taken by that Business User. A User invited by an Administrator User to carry out property condition reports and other services using purchased credits/tickets.
"Team Account": refers to a shared workspace (account) on KEI, created and managed by an Administrator User. It centralizes the management of property condition reports, Collaborator Users, and credits/tickets for an organization (Landlord, Real Estate Agency, Property Expert, Concierge, etc.).
"User Account": refers to all IT resources assigned to a User, accessed through KEI with a login and password, either as an Administrator User or a Collaborator User.
"Contact": refers to any individual or entity involved in a property condition report in KEI. Contacts can be stored and reused to simplify report management. They may include the Landlord (owner, real estate company, institution) renting a property, the Tenant occupying the property under a lease agreement, the Agent/Representative (agency, property manager, notary, bailiff, expert) acting on behalf of the Landlord or Tenant. Contacts can review the property’s condition, be present during the property condition report, provide comments, sign, and receive the reports.
"Content": refers to entered data, photos, generated documents, and reports produced via KEI.
"Credit or Ticket": refers to the purchase unit allowing the execution and export of a report such as a property condition report or incident management.
"Editor": refers to KORV Consulting SAS, the company that develops, publishes, and markets web and mobile applications under the commercial name KEI.
"Incident or Claim": refers to any reported issue, request, or complaint declared by a Contact, occurring in a property and requiring intervention by a 'Professional'.
"Professional": refers to any individual or company engaged in property management or administration on their behalf or for an employer, such as a property administrator, property manager, real estate agent, or real estate company.
"Reports": refers to digitally generated and electronically published documents in PDF format from the KEI Application, such as property condition reports and furnished inventories.
"Services": refers to all functionalities, services, tools, advice, and information offered by KEI to Users. These Services may be free or paid.
"User": refers to any individual or entity using the KEI Application with a specific role.
The terms of the GTU and the Privacy Policy starting with a capital letter, whether singular or plural, are understood as follows:
2. Purpose
These GTU define the terms of use of the KEI Application as well as the rights and obligations of Users and the Publisher. The Publisher grants the User a personal, non-transferable, and non-exclusive license to access and use the Application and Service for conducting property condition reports and real estate claims. The User does not become the owner of the Application but acquires a usage right only, with ownership remaining with the Publisher.
By acquiring a License, the User is only authorized to use the Application within the scope of use defined by the publisher and under the conditions decided by the publisher.
3. Service Description
KEI is an application available on Apple and Android platforms, designed for digital document management, enabling users to generate PDF reports such as property condition reports, furnished inventories, and incident declarations.
Through the application, a user can take photos, describe a property, add comments, and send the electronically signed PDF report directly from their tablet.

4. Access to the Application
4.1 Access Conditions
KEI processes data for
- Any individual with full legal capacity to enter into a contract under these GTU.
- Any legal entity acting through a legally authorized representative.
The User must have internet access and a compatible device.
4.2 Account Creation
Users must provide accurate and up-to-date information when creating their account.
KEI may verify the validity of the provided information. Incomplete or incorrect registrations will not be validated.Joining an existing team on KEI can also be done via invitation by another User.Most of the features available in the Application are provided to the User and may evolve at the initiative of the publisher.4.3 User Account Login
Users can access their account anytime using their login credentials.
Users are solely responsible for maintaining the confidentiality of their login credentials. KEI must be contacted immediately if unauthorized use is detected.

They must immediately contact KEI at the coordinates mentioned in the Legal Notices if they notice that their User Account has been used without their knowledge. They acknowledge KEI's right to take all appropriate measures in such cases.
4.4 Account Termination and Suspension
- Users can unsubscribe from the Services anytime by deactivating/deleting their account or by contacting support@kei-app.com.
- The Publisher reserves the right to suspend or delete a User in case of non-compliance with the GTU.
5. Payment Model: Tickets and Subscription
5.1 Ticket Purchase
Users can purchase tickets via the Application. Each ticket allows for the execution and export of a property condition report. Tickets can be shared among team members.
5.2 Pricing and Validity
The prices of credits/tickets are displayed on KEI and may be modified by the publisher. Purchased tickets are valid for a period of 12 months from the date of purchase.
5.3 Subscription (Premium Services)

5.4 Renewal
Subscriptions are automatically renewed unless terminated before the expiration date.
5.5 Refund Policy
No refund will be issued after purchase, except in case of a technical issue preventing the use of tickets.The subscription is non-refundable after commitment.6. General User Obligations
Without prejudice to other obligations provided herein, the User agrees to comply with the following obligations:
- The User agrees, when using the Application, to comply with applicable laws and regulations and these Terms and Conditions, and not to infringe on the rights of third parties or public order and the confidentiality of processed data.
- The User agrees to use the Application and any provided Information only for personal, non-commercial, non-profit, and legal purposes. They agree not to share or resell their tickets without authorization.
- The User is informed and accepts that the operation of the Application generally requires an internet connection, which they alone are responsible for.
- The User must take the necessary measures to back up the information and Content of their User account as they see fit, as no copy will be provided.
The User agrees to comply with applicable laws and regulations and not to infringe on the rights of third parties or public order.
- The User of the application is solely responsible for the Content they publish on the Application.
- The User acknowledges that any Content entered in the KEI Application may be viewed by other Users in their team and the Professional they interact with and will not be treated as private, exclusive, or confidential.
- The User grants KEI, its affiliates, and its licensees and sublicensees, a worldwide, non-exclusive, sublicensable, transferable license to use, reproduce, transform, adapt, publicly perform or display, modify, create derivative works, publish, transmit, and distribute all or part of the Content worldwide in any form, on any medium or through any mode of distribution (current or future) for the duration of any copyright or other rights attached to such Content.
- The User declares and warrants to KEI that they own the Content or have the right to grant this license. The User agrees to pay all royalties, damages, and other sums due to a third party due to Content posted by the User.
- They agree that the Content is lawful, does not infringe on public order, morality, or the rights of third parties, does not violate any legislative or regulatory provisions, and more generally, is not likely to engage the civil or criminal liability of KEI.
7. Prohibited Behaviors
7.1 Strictly prohibited uses of the Application include:- Engaging in illegal, fraudulent activities or those that harm the rights or safety of third parties.
- Infringing public order or violating applicable laws and regulations.
- Intruding into a third party's computer system or any activity that may harm, control, interfere with, or intercept a third party’s system, violating its integrity or security.
- Sending unsolicited emails and/or commercial solicitations.
- Manipulations aimed at improving the ranking of a third-party website.
- Any practice that diverts the Services for purposes other than those for which they were designed.

- Any behavior intended to interrupt, suspend, slow down, or prevent the proper functioning of the Application and the continuity of Services.
- Any intrusion or attempted intrusion into KEI's systems, including data mining, bots, or other similar tools for data collection and extraction.
- Monetizing, selling, or granting access to the Application and the hosted/shared information.
- Disseminating content that is pornographic, obscene, offensive, defamatory, racist, harmful, fraudulent, misleading, or otherwise violating third-party rights.

- Pornographic, obscene, indecent, shocking, or unsuitable for a family audience, defamatory, insulting, violent, racist, xenophobic, or revisionist
- Counterfeiting or infringing on the image of a third party
- Misleading, deceptive, or proposing or promoting illegal, fraudulent, or deceptive activities
- Harmful to third-party computer systems
- Any act likely to harm the financial, commercial, or moral rights and interests of KEI or its platform users
- And more generally, likely to infringe on the rights of third parties or be prejudicial to third parties, in any manner and under any form
8. User Liability and Warranty
8.1 The User guarantees KEI against all complaints, claims, actions, and demands KEI may suffer due to a violation by the User of any of their obligations or warranties under these Terms.
8.2 The User agrees to compensate KEI for any damage it suffers and to pay all costs, expenses, and penalties incurred as a result.
8.3. The User is responsible for the information and documents generated through KEI and must verify their legal compliance.
9. Sanctions for Breaches
- Suspending or terminating the User's access to the Application and Services.
- Deleting any content posted on the Application.
- Notifying relevant authorities.
- Initiating legal proceedings.
10. KEI's Liability and Warranty
10.1. KEI commits to providing an Application and Services diligently, with a duty of means rather than a duty of results.
10.2. KEI is not aware of and does not moderate, select, verify, or control the content posted by Users.
10.3. KEI disclaims responsibility for any data loss; Users should back up their information.
10.4. KEI does not guarantee uninterrupted access to the Application.

11. Intellectual Property
11.1. All software, databases, content, and elements used for the Application are the exclusive property of KEI or its partners.
11.2. Any reproduction, representation, or use without prior written consent is strictly prohibited.
11.3. Users retain ownership of generated reports but grant KEI a license for storage and processing.
11.4. Any disassembly, decompilation, decryption, extraction, reuse, copying, and more generally, any act of reproduction, representation, dissemination, and use of any of these elements, in whole or in part, carried out without the express authorization of the publisher may be subject to legal proceedings.
11.5. The User remains the owner of the property condition reports and generated reports but grants the publisher a license for storage and technical processing.
12. Personal Data Protection
The Publisher collects and processes personal data in compliance with the General Data Protection Regulation (GDPR – EU 2016/679). The characteristics of the personal data protection policy applied by the Publisher are detailed in the 'Privacy Policy' document.
13. Advertising
The Publisher reserves the right to insert any advertising or promotional messages on any page of the Application and in any communication to Users, in a form and under conditions determined solely by the Publisher.
14. Team Account Termination by the Administrator User
The Administrator User of a team has the ability to terminate the team account and remove access for collaborators to KEI Services.
14.1. Termination ProcedureThe Administrator can request the termination of the team account via account settings or by contacting KEI support at support@kei-app.com.14.2. Consequences of Termination- Access Removal: All Users associated with the team account will immediately lose access to KEI.
- Data and Documents: The Administrator User can retrieve property condition reports and generated documents before termination. After 7 days, the data will be permanently deleted.
- Remaining Tickets: Unused credits/tickets are non-refundable and will be lost after termination.
- Ongoing Subscription: The subscription remains active until the end of the committed period. No refunds will be issued for the remaining period.
- Non-compliance with the GTU,
- Fraudulent activities,
- Abusive use of services.
In such cases, a notification will be sent to the Administrator User.
15. Acceptance and Modification of the GTU
15.1. Any person accessing the Application or one of its subdomains is deemed to have fully accepted these GTU.
15.2. A User who does not accept all or part of the GTU and/or the Privacy Policy must not use the Application and/or Services, or must immediately cease any use.
15.3. The GTU are available at any time upon request, via a direct link at the bottom of the Application homepage, or during product subscription, and can also be printed.
15.4. During registration, the User must accept the GTU by checking the designated box.
15.5. The Publisher reserves the right to modify the GTU at any time. The User will be informed of any substantial changes to the GTU and/or the Privacy Policy by any appropriate means. A User who does not accept the modified GTU and/or Privacy Policy must cease using the Application and/or Services and immediately unsubscribe according to the terms set out in Article 4.4. Any User continuing to use the Application after the modifications take effect is deemed to have accepted them.
16. Applicable Law and Disputes
16.1. Disputes: In case of a dispute regarding the validity, execution, or interpretation of these GTU, the User or Client and the Publisher will attempt to settle their dispute amicably. If no agreement is reached, the dispute will be submitted to the competent jurisdiction of the Publisher's registered office.
16.2. Nullity: The potential nullity of a clause does not invalidate the entire GTU. Similarly, the temporary or permanent non-application of one or more clauses does not constitute a waiver of the remaining clauses, which continue to apply.
16.3. Language: In case of a translation of the GTU into one or more languages, the French language shall prevail in the event of contradictions or disputes over meaning.
16.4. Governing Law and Jurisdiction: These GTU are governed by French law. Any disputes, particularly regarding interpretation, execution, or consequences of the GTU, will be subject to the exclusive jurisdiction of French courts, specifically the competent court according to French procedural rules, notwithstanding multiple defendants or warranty claims.
